The use of our services, including but not limited to the website (hereafter “Website”), which is owned and maintained by Modern Influence Society LLC (collectively referred to as “we,” “our,” “us”), is governed by the terms and conditions set forth below. We offer the Website, including all information, tools, and services available from the Website to you, the user, conditioned upon your acceptance of all terms and conditions stated here. By accessing, using, subscribing, or placing an order through any of our platforms, you and your business agree to the terms set forth herein. If you do not agree to these terms and conditions in their entirety, you are not authorized to use our services in any manner or form whatsoever.

THIS IS A BINDING AGREEMENT. THESE TERMS AND CONDITIONS OF USE & SALE (“TERMS”) TOGETHER WITH OUR PRIVACY STATEMENT FORM A LEGALLY BINDING AGREEMENT (“AGREEMENT”) BETWEEN YOU AND YOUR BUSINESS (“YOU”) AND MODERN INFLUENCE SOCIETY LLC. THIS AGREEMENT GOVERNS YOUR ACCESS TO AND USE OF OUR SERVICES PROVIDED THROUGH ANY OF OUR ENTITIES. ANY ORDER YOU PLACE THROUGH THE WEBSITE, BY TELEPHONE, OR OTHER ACCEPTED METHOD OF PURCHASE AND, AS APPLICABLE, YOUR USE OR ATTEMPTED USE OF THE PRODUCTS OR SERVICES OFFERED ON OR AVAILABLE THROUGH OUR PLATFORMS.

THIS AGREEMENT CONTAINS ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING, RIGHT TO A JURY TRIAL, AND RIGHT TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS SPECIFIED BELOW IN SECTION 18.

Modern Influence Society LLC reserves the right to update and change, from time to time, these Terms and all documents incorporated by reference by posting updates and/or changes to our Website. It is your responsibility to check this page periodically for changes. You can find the most recent version of these Terms at Terms of Service. Use of the Website after such changes constitutes acceptance of such changes. Any new features or tools which are added to the current Website shall also be subject to the Terms.

This includes, but is not limited to, decision-making, strategic planning, and overall business administration.

By engaging with any of Modern Influence Society LLC’s services, you acknowledge and agree that your business relationship is primarily with an entity based in the United States, regardless of your own location or the specific entity through which you receive services.

SECTION 1 – WEBSITE USE

The Website is intended for businesses operated by adults. If you use the Website, you are affirming that you are at least 18 years old or the legal age of majority in your state or province of residence (whichever is greater), operate a business, have the legal capacity to enter into a binding contract with us, and have read this Agreement and understand and agree to its terms.

SECTION 2 – WEBSITE USER CONDUCT AND RESTRICTIONS – LICENSE TERMS

All aspects of our Website and services are protected by U.S. and international copyright, trademark, and other intellectual property laws, including all content, information, design elements, text material, logos, taglines, metatags, hashtags, photographic images, testimonials, personal stories, icons, video and audio clips, and downloads. No material on the Website may be copied, reproduced, distributed, republished, uploaded, displayed, posted, or transmitted in any way whatsoever. Modern Influence Society LLC’s trademarks and logos are proprietary marks of Modern Influence Society LLC, and the use of those marks is strictly prohibited. Nothing herein gives you the right to use, copy, register as a domain name, reproduce, or otherwise display any logo, tagline, trademark, trade name, copyrighted material, patent, trade dress, trade secret, or confidential information owned by Modern Influence Society LLC.

Subject to your continued strict compliance with all Terms, Modern Influence Society LLC provides to you a revocable, limited, non-exclusive, royalty-free, non-sublicensable, non-transferable license to use the Website. You acknowledge and agree that you do not acquire any ownership rights in any material protected by intellectual property laws.

If you purchase a subscription to Modern Influence Society LLC software over the Website, Modern Influence Society LLC provides to you a revocable, limited, non-exclusive, non-sublicensable, non-transferable license to use the software. You acknowledge and agree that: (1) the software is copyrighted material under United States and international copyright laws that is exclusively owned by Modern Influence Society LLC; (2) you do not acquire any ownership rights in the software; (3) you may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the software in whole or in part.

You agree that you are not allowed to host agency or service provider accounts for third parties. Each account is limited to the use of a single business entity unless otherwise agreed in writing. Violating this term may result in immediate termination of access and services.

SECTION 3 – OUR PRIVACY STATEMENT AND YOUR PERSONAL INFORMATION

We respect your privacy and the use and protection of your personal information. Your submission of personal information through the Website is governed by our Privacy Statement. Our Privacy Statement may be viewed on the Website and is incorporated into this Agreement by reference.

Modern Influence Society LLC reserves the right to modify its Privacy Statement in its reasonable discretion from time to time. Our Privacy Statement is incorporated into this Agreement by reference. You agree to provide accurate, current, and complete information about yourself and your business as prompted by our registration forms, and to maintain and promptly update your information (including your email address) to keep it accurate, current, and complete.

You understand and agree that any information you provide to Modern Influence Society LLC may be used in accordance with our Privacy Statement.

SECTION 4 – INFORMATION YOU PROVIDE; REGISTRATION; PASSWORDS; PROHIBITION AGAINST HOSTING THIRD-PARTY AGENCY ACCOUNTS

As a user of our services, you may be required to register with Modern Influence Society LLC. When you register, you agree to provide accurate, current, and complete information about yourself and your business, and to promptly update such information to keep it accurate, current, and complete. You agree not to impersonate any person or entity, misrepresent any affiliation with another person, entity, or association, use false headers, or otherwise conceal your identity from Modern Influence Society LLC for any purpose.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for all activities or actions that occur under your account and/or password.

You are prohibited from using our services to host accounts on behalf of third-party agencies or to resell access without prior written consent from Modern Influence Society LLC. Any violation of this restriction may result in termination of access and/or legal action.

SECTION 5 – ORDER PLACEMENT AND ACCEPTANCE

You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept orders at our sole discretion, even after we send you a confirmation email with your order number and details of the items you have ordered.

Modern Influence Society LLC reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

SECTION 6 – REFUNDS FOR HARD GOODS

If you have purchased a “hard good” (for example, a book or other tangible product) from Modern Influence Society LLC, you may receive a limited refund if you comply with the following conditions:

1. You must request a refund in writing by contacting support within thirty (30) days of your purchase.

2. Your request for a refund must include the order number and the reason for the request.

3. The item must be returned in its original packaging and condition to the address specified by our support team.

4. The return shipment must be postmarked within thirty (30) days of the original purchase date.

5. You are responsible for all return shipping costs.

Modern Influence Society LLC reserves the right to deny a refund if the item is not returned in its original condition or if the request is made outside the specified time frame.

Digital products and services are non-refundable unless otherwise stated in a specific agreement or offer.

SECTION 7 – AUTOMATIC ENROLLMENT AND PAYMENT, AND CANCELLATION

If you purchase a subscription or recurring service from Modern Influence Society LLC, you will be automatically enrolled in the corresponding billing plan and charged according to the frequency and amount stated at the time of purchase. Charges will continue until you cancel your subscription in accordance with the cancellation policy outlined here.

You may cancel your subscription at any time by providing written notice via the cancellation form or support email. Cancellation requests must be submitted at least 48 hours before your next billing date to avoid further charges. No partial refunds will be provided for unused time within a billing period.

It is your responsibility to ensure that your billing information is current and accurate. If a payment fails due to expired credit card, insufficient funds, or otherwise, Modern Influence Society LLC may suspend or terminate your access to the service until all outstanding balances are paid in full.

By purchasing a subscription, you authorize Modern Influence Society LLC to charge your payment method on a recurring basis without requiring prior approval for each recurring charge, until you cancel.

SECTION 8 – SUBSCRIPTION TERMS AND AUTOMATIC PAYMENT

All subscriptions provided by Modern Influence Society LLC renew automatically on a monthly or annual basis, depending on your selected plan. By subscribing, you authorize us to automatically charge the payment method associated with your account at the start of each renewal period without further action by you.

You are responsible for all recurring charges until you cancel your subscription in accordance with Section 7. Subscription fees are non-refundable once charged, except where required by law or explicitly stated in a written agreement.

Modern Influence Society LLC reserves the right to change subscription pricing or features with advance notice. Continued use of the subscription after any pricing change constitutes acceptance of the new pricing.

SECTION 9 – SHIPPING FEES

Shipping fees may apply to the delivery of physical products (“hard goods”) purchased through Modern Influence Society LLC. Shipping costs are not included in the product price unless otherwise stated and will be clearly presented at checkout.

We are not responsible for delays, loss, or damage incurred during shipping. Once the package is transferred to the carrier, risk of loss passes to you. We recommend choosing insured shipping methods where available. Any issues with delivery must be addressed directly with the carrier.

SECTION 10 – PRODUCTS, SERVICES, AND PRICES AVAILABLE ON THE WEBSITE

Modern Influence Society LLC reserves the right to revise, suspend, or discontinue any product or service at any time without notice. Prices and availability are subject to change without prior notice. We make every effort to display accurate pricing and product/service descriptions, but we do not guarantee that any such information is error-free, complete, or current.

We reserve the right to correct any errors, inaccuracies, or omissions—including after an order has been submitted—and to cancel or refuse any order placed based on incorrect pricing or availability information.

All prices displayed are in U.S. dollars unless otherwise noted. Additional taxes, shipping fees, or service charges may apply and will be presented during checkout or as specified in your agreement.

SECTION 11 – IMPORTANT DISCLOSURES

Modern Influence Society LLC is not a law firm, financial advisor, or licensed professional service. All information, training, and services provided are for general business purposes only. You are responsible for ensuring that your use of any content, service, or strategy provided by us complies with local laws and regulations.

No results are guaranteed. Business outcomes are dependent on a range of factors including your market, business decisions, and execution. Testimonials and case studies shared on our platforms reflect individual experiences and should not be interpreted as guarantees of results.

You understand and agree that any business decisions made based on the information provided by Modern Influence Society LLC are made at your own risk.

SECTION 12 – TESTIMONIALS, REVIEWS, AND PICTURES/VIDEOS

Modern Influence Society LLC is pleased to hear from users and clients and welcomes your comments regarding our services. Testimonials, reviews, and other content submitted to us (via website forms, email, video, or social media) may be used for marketing and promotional purposes.

By submitting a testimonial, review, image, or video, you grant Modern Influence Society LLC a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, publish, display, and distribute that content in all media formats and marketing materials, including but not limited to our website, email campaigns, advertisements, and social platforms.

You confirm that any content you submit is accurate, lawful, and does not infringe on the rights of any third party. We reserve the right to remove or edit any content at our sole discretion.

SECTION 13 – DISCLAIMERS OF OTHER WARRANTIES

Except as expressly provided in this Agreement, Modern Influence Society LLC makes no warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website, services, or products will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

No oral or written information provided by Modern Influence Society LLC, its employees, agents, or affiliates shall create a warranty not expressly stated in this Agreement. You expressly agree that your use of our services is at your sole risk.

SECTION 14 – LIMITATIONS OF LIABILITIES

To the fullest extent permitted by law, Modern Influence Society LLC and its officers, directors, employees, contractors, agents, licensors, service providers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues—whether incurred directly or indirectly—or any loss of data, use, goodwill, or other intangible losses resulting from:

1. Your access to or use of or inability to access or use the services;

2. Any conduct or content of any third party on the services;

3. Any content obtained from the services; and

4. Unauthorized access, use, or alteration of your transmissions or content.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis—even if Modern Influence Society LLC has been advised of the possibility of such damage. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

SECTION 15 – DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

Any controversy or claim arising out of or relating to this Agreement, including any alleged breach thereof, shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

By agreeing to these Terms, you waive your right to a jury trial or to participate in a class action or representative proceeding. You agree to resolve disputes with Modern Influence Society LLC on an individual basis, and not as a plaintiff or class member in any purported class or representative action.

The arbitration shall be conducted in Charlotte, North Carolina, unless otherwise agreed by the parties in writing. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

This Section shall survive termination of this Agreement and your relationship with Modern Influence Society LLC.

SECTION 16 – MODERN INFLUENCE SOCIETY LLC INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Modern Influence Society LLC and its affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand—including reasonable attorneys’ fees—made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

SECTION 17 – NOTICE AND TAKEDOWN PROCEDURES; COPYRIGHT AGENT

If you believe any materials accessible on or from the Website infringe your copyright, you may request removal of those materials (or access to them) by submitting written notification to our designated Copyright Agent. The notice must include:

1. Your physical or electronic signature;

2. Identification of the copyrighted work you believe to have been infringed;

3. Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material;

4. Your contact information—including name, mailing address, telephone number, and email address;

5. A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;

6. A statement that the information in the written notice is accurate; and

7. A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

SECTION 18 – THIRD-PARTY LINKS

Certain content, products, and services available via our Website may include materials from third parties. Third-party links on this site may direct you to third-party websites that are not affiliated with Modern Influence Society LLC. We are not responsible for examining or evaluating the content or accuracy of those sites, and we do not warrant or assume any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties.

You agree that Modern Influence Society LLC shall not be liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third party’s policies and practices before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

SECTION 19 – TERMINATION

These Terms are effective unless and until terminated by either you or Modern Influence Society LLC. You may terminate this Agreement at any time by notifying us that you no longer wish to use our services or when you cease using our Website.

We may terminate or suspend your access to the Website and services at any time, without notice, for conduct that we believe violates this Agreement or is harmful to other users, us, or third parties, or for any other reason in our sole discretion.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement for all purposes.

SECTION 20 – NO WAIVER

The failure of Modern Influence Society LLC to enforce any provision of these Terms shall not be construed as a waiver or limitation of our right to subsequently enforce and compel strict compliance with every provision of this Agreement.

SECTION 21 – GOVERNING LAW AND VENUE

This Agreement and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

You agree that any legal action or proceeding between you and Modern Influence Society LLC for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Wyoming.

SECTION 22 – FORCE MAJEURE

Modern Influence Society LLC shall not be liable or responsible to you, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Modern Influence Society LLC. These include, but are not limited to, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest; national emergency; epidemic; pandemic; lockouts, strikes or other labor disputes (whether or not relating to our workforce); or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials.

SECTION 23 – ASSIGNMENT

You may not assign your rights or obligations under these Terms without the prior written consent of Modern Influence Society LLC. We may assign our rights and obligations under this Agreement in whole or in part at any time to any third party without notice. This Agreement shall be binding upon and inure to the benefit of the permitted successors and assigns of each party.

SECTION 24 – ELECTRONIC SIGNATURE

You agree that your use of the Website, including but not limited to clicking to accept these Terms, making a purchase, or entering into any agreement with Modern Influence Society LLC electronically, constitutes your signature, acceptance, and agreement as if actually signed by you in writing.

You acknowledge that you have the ability to access and retain electronic communications, and that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You can review the most current version of the Terms at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our Website. It is your responsibility to check our Website periodically for changes.

Your continued use of or access to the Website or our services following the posting of any changes to these Terms constitutes acceptance of those changes.

SECTION 26 – YOUR ADDITIONAL REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

(1) You are at least 18 years old;

(2) You have the legal authority to enter into this Agreement;

(3) You will comply with all applicable local, state, national, and international laws, rules, and regulations;

(4) You will not use the Website or any content, products, or services for any purpose that is unlawful or prohibited by these Terms.

You agree to use the Website and services only for legitimate business purposes and not for any fraudulent or malicious activity.

SECTION 27 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from the rest of this Agreement and shall not affect the validity and enforceability of any remaining provisions.

SECTION 28 – ENTIRE AGREEMENT

These Terms, along with our Privacy Statement and any other legal notices published by Modern Influence Society LLC, constitute the entire agreement and understanding between you and Modern Influence Society LLC with respect to the use of the Website and services. They supersede any prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and us.

No course of conduct or trade practice shall act to modify any provision of this Agreement.

SECTION 30 – DATA PRIVACY SHIELD

Modern Influence Society LLC complies with applicable data protection laws and takes reasonable measures to ensure that your personal data is protected. By using our services, you consent to the collection, use, and transfer of your personal information as outlined in our Privacy Statement.

If you are located outside the United States, you understand and consent to the processing of your personal information in the U.S. where data protection laws may differ from those in your jurisdiction.

SECTION 31 – LATE PAYMENT POLICY

Payments are due on the date specified in your agreement or at the time of order. If a payment is not received on time, a late fee of 5% of the overdue balance or $25 (whichever is greater) may be assessed. Continued non-payment may result in suspension or termination of services.

You are responsible for all costs of collection, including legal fees, associated with recovering past due amounts.

SECTION 32 – PAYMENT DELAY SUSPENSION POLICY

If your payment is delayed by more than seven (7) days from the due date, Modern Influence Society LLC reserves the right to suspend your access to services until the outstanding balance is paid in full. During the suspension period, you may lose access to software tools, coaching calls, account support, or any other active service deliverables.

Reinstatement of services may take up to 48 hours after payment is received and confirmed. Continued delays or repeated suspensions may result in full termination of your account and forfeiture of access to any deliverables or resources previously granted.

ANTI-CLASS ACTION PROVISION

Client waives the right to bring or participate in a class action against Modern Influence Society LLC or its parent, affiliated companies, subsidiaries, agents, officers, and/or principals. By agreeing to these Terms, you waive the ability to bring a class action suit.

DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS ARBITRATION PROVISION CAREFULLY TO UNDERSTAND YOUR RIGHTS. EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY CLAIM YOU MAY HAVE IN THE FUTURE MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY. THE RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT—SUCH AS DISCOVERY OR THE RIGHT TO APPEAL—MAY BE MORE LIMITED OR MAY NOT EXIST.

YOU AGREE THAT YOU MAY ONLY BRING A CLAIM IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF (LEAD OR OTHERWISE) OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU FURTHER AGREE THAT THE ARBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS OR CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

All arbitration proceedings shall take place in Sheridan County, Wyoming, unless otherwise agreed in writing. Arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
